Terms of Service

Effective: August 15, 2026

These Terms of Service (the "Terms") form a binding agreement between you and the operator of SpeakCharm ("SpeakCharm," "we," "us," or "our") governing your use of the SpeakCharm application, website, and related services (the "Service").

1. Accepting these Terms

By creating an account, selecting the agreement checkbox, purchasing a subscription, or using the Service, you agree to these Terms and acknowledge the Privacy Policy. If you do not agree, do not use the Service. If you use SpeakCharm for an organization, you represent that you have authority to bind that organization, and "you" includes the organization.

2. Eligibility

You must be at least 16 and legally capable of entering this agreement. If local law requires a higher age for independent consent, you must meet that age or have valid parent or guardian authorization where SpeakCharm expressly permits supervised use. The Service is not directed to children under 16.

3. Accounts and security

You must provide accurate information, maintain one personal account unless we authorize otherwise, protect your credentials and devices, and promptly notify [email protected] of suspected unauthorized use. You are responsible for activity through your account to the extent permitted by law. We may require email verification or identity re-verification to protect the account or process a rights request.

4. What SpeakCharm provides

SpeakCharm provides communication-learning content, progress tracking, AI roleplay Practice, automated coaching feedback, personalized AI memory where enabled, and related support. Features, content, supported languages, plan limits, and availability may vary by platform, region, account, and subscription tier. SpeakCharm is a self-guided learning tool and does not guarantee a particular educational, professional, or interpersonal outcome.

5. Limited right to use the Service

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Service for your personal, non-commercial learning. Rights not expressly granted are reserved by SpeakCharm and its licensors.

6. Your content

You retain any rights you have in scenarios, messages, feedback notes, goals, and other content you submit ("User Content"). You grant us a worldwide, non-exclusive license to host, reproduce, transmit, adapt, analyze, and otherwise process User Content only as reasonably necessary to provide, personalize, secure, support, and improve the Service in accordance with the Privacy Policy. This license ends when the content is deleted, except for limited copies lawfully retained in backups or as required by law.

You represent that you have the rights needed to submit User Content and that it does not violate law or another person's rights. Do not submit trade secrets, regulated records, highly sensitive information, or another person's personal information unless you are authorized and its use with the Service is appropriate.

7. AI-generated content

AI roleplay, scores, feedback, inferred memories, and suggested responses are generated automatically. Outputs may be inaccurate, incomplete, repetitive, biased, offensive, or unsuitable, and similar output may be generated for other users. You must review outputs and use independent judgment before acting on them.

SpeakCharm does not provide legal, medical, mental-health, financial, employment, crisis, or other professional advice, and the Service is not an emergency service. Do not rely on an AI output as a substitute for qualified advice or use it to make high-impact decisions about another person.

8. Acceptable use

You must not, and must not help anyone else to:

  • Use the Service unlawfully; threaten, harass, exploit, deceive, or harm another person; or submit content that infringes privacy, intellectual-property, publicity, or other rights.
  • Seek instructions for violence, sexual exploitation, self-harm facilitation, fraud, malware, credential theft, evading safeguards, or other harmful or illegal activity.
  • Gain unauthorized access; probe or disrupt systems; bypass plan limits or security controls; introduce malicious code; or use another person's account or purchase entitlement.
  • Scrape, harvest, bulk download, resell, sublicense, or use automated means to extract Service content or user data, except with our written permission or where applicable law does not allow this restriction.
  • Reverse engineer or attempt to derive source code, models, prompts, or protected technical components, except to the limited extent the law expressly permits despite this restriction.
  • Use outputs or Service content to misrepresent human authorship, impersonate a person, make unlawful high-impact decisions, or develop a competing model or service where prohibited by law.

9. Subscriptions, renewal, and refunds

Some features require a paid subscription purchased through Apple App Store or Google Play. The price, currency, billing interval, included features, and applicable taxes are shown before purchase. Subscriptions renew automatically for the same period unless canceled through your store account before the store's renewal deadline. Deleting the app or your SpeakCharm account does not itself cancel a store subscription; cancel it in the applicable store settings.

The store processes payment, renewal, cancellation, and refund requests under its terms and local law. Except where required by law or granted by the store, fees are non-refundable and there is no credit for a partially used period. If a subscription expires or payment cannot be verified, paid access may end while data that remains associated with your account continues to be handled under the Privacy Policy.

10. Intellectual property and feedback

The Service—including its software, interface, brand, lessons, scenarios supplied by us, designs, and documentation—is owned by SpeakCharm or its licensors and protected by applicable intellectual-property laws. SpeakCharm names and marks may not be used without permission. If you send product suggestions, you allow us to use them without restriction or payment, but this does not give us ownership of personal information or other User Content included in the submission.

11. Third-party services

The Service relies on or may link to third-party services, including Apple, Google, AI providers, and infrastructure providers. Their services and accounts are governed by their own terms. We are not responsible for a third party's independent service, content, or availability, but we remain responsible for our own obligations concerning personal information we entrust to service providers.

12. Service changes and availability

We may update, add, remove, or discontinue features; change plan limits; or perform maintenance. If a change materially reduces a paid feature during an active billing period, we will provide notice or a remedy when required by law. We do not promise uninterrupted or error-free availability. You are responsible for compatible devices, internet access, and installing updates reasonably required for security or operation.

13. Suspension, termination, and account deletion

We may limit or suspend access when reasonably necessary to protect users or systems, investigate suspected misuse, comply with law, address payment status, or respond to a material or repeated breach. Where appropriate, we will provide notice and a reasonable opportunity to appeal. We may terminate access for serious misuse or when required by law.

You may stop using the Service and delete your account at any time through Profile > Settings > Delete account. Account deletion is permanent and is handled as described in the Privacy Policy. It does not automatically cancel an Apple or Google subscription. Provisions that by their nature should survive—including ownership, payment obligations already incurred, disclaimers, liability limits, and dispute provisions—remain effective after termination.

14. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that outputs, learning content, or stored progress will be error-free or that the Service will always be available or secure. Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded.

15. Limitation of liability

To the maximum extent permitted by law, SpeakCharm and its affiliates, personnel, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, opportunity, goodwill, or data, arising from the Service. Our aggregate liability for claims relating to the Service will not exceed the greater of the amount you paid for the Service during the 12 months before the event giving rise to the claim or US$100.

These limits do not apply to fraud, willful misconduct, death or personal injury caused by negligence, violation of non-waivable privacy rights, or any liability that applicable law does not allow us to limit. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.

16. Governing rules and disputes

Before filing a formal claim, please contact [email protected] and describe the issue so both sides can try to resolve it informally. These Terms are governed by the laws applicable to the SpeakCharm service operator, without depriving you of mandatory protections under the law of your habitual residence. Courts with jurisdiction under applicable law may hear unresolved disputes. These Terms do not require individual arbitration or waive a right to participate in a class action where such a requirement or waiver would be unenforceable.

17. General terms

If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will continue in effect. Our failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a reorganization, merger, acquisition, or sale of the Service, subject to applicable law. These Terms, the Privacy Policy, and purchase terms shown by the applicable store form the agreement concerning the Service.

18. Changes and contact

We may update these Terms when the Service or law changes. We will post the revised Terms, update the effective date, and give additional notice when required. If a material change requires new consent, we will ask for it before the change applies.
